3. Payment Terms

Payment terms are as follows:

• •Monthly subscription fees are due on the same date each month
• •Setup fees are due upon contract signing
• •All fees are non-refundable unless otherwise stated
• •Late payments may incur additional fees
• •Services may be suspended for non-payment

4. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are the exclusive property of The Marketing Guys and are protected by copyright, trademark, and other intellectual property laws.

5. Client Responsibilities

As a client, you agree to:

• •Maintain the confidentiality of account credentials
• •Comply with all applicable laws and regulations
• •Provide timely feedback and approvals
• •Not use our services for any illegal purposes

6. Service Level Agreement

We strive to maintain high service availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

7. Limitation of Liability

To the maximum extent permitted by law, The Marketing Guys shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use our services.

8. Termination

Either party may terminate services with 30 days written notice. Upon termination:

• •All outstanding fees become immediately due
• •Access to services will be discontinued
• •Client data will be available for export for 30 days
• •Proprietary materials must be returned or destroyed

9. SMS/Text Messaging Terms

By opting in to receive text messages from EasyServe Solutions (dba The Service Marketing Guys), you agree to the following:

• •You consent to receive text messages regarding your inquiry and appointment confirmations
• •Message frequency varies based on your interactions
• •Message and data rates may apply depending on your carrier plan

• •All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties

Supported carriers include AT&T, T-Mobile, Verizon, Sprint, and most major US carriers. Carriers are not liable for delayed or undelivered messages.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
